By accessing or using any product, application, website, or service provided by Baroi AI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Baroi AI. By downloading our apps, visiting our websites, or using any of our tools, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to use our Services. If you are under 18, you must have the consent of a parent or legal guardian.

By using our Services, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms.

If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Subject to your compliance with these Terms, Baroi AI grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our websites for personal, non-commercial purposes
• Download and install our applications on devices you own or control
• Use our tools and APIs as intended and documented

This license does not permit you to:

• Copy, modify, distribute, sell, or lease any part of our Services
• Reverse engineer, decompile, or disassemble our software
• Remove, alter, or obscure any proprietary notices or labels
• Use our Services to build a competing product or service
• Automate access to our Services (scraping, bots) without written permission

You agree to use our Services responsibly and lawfully. You must not:

• Use our Services for any illegal purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of our Services, other accounts, or connected systems
• Transmit malware, viruses, or any code of a destructive nature through our Services
• Interfere with or disrupt the integrity or performance of our Services
• Use our AI features to generate content that is harmful, abusive, defamatory, obscene, or promotes violence or discrimination
• Use automated tools to overload, stress-test, or abuse our APIs or web services
• Impersonate Baroi AI or misrepresent your affiliation with us
• Collect, harvest, or scrape user data from our Services

We reserve the right to suspend or terminate your access to our Services if we reasonably believe you have violated this Acceptable Use Policy.

All content, design, graphics, logos, code, interfaces, and other intellectual property associated with Baroi AI and our Services are the exclusive property of Baroi AI (Subhodeep Baroi) unless otherwise stated. This includes but is not limited to:

• The "Baroi AI" name, logo, and brand assets
• Application source code, designs, and UI/UX elements
• Website design, layout, text, and graphics
• Any original documentation, guides, or marketing materials

Our Services are protected by copyright, trademark, and other intellectual property laws of India and international treaties. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without prior written consent.

You own your content. Any data, text, files, prompts, or materials you create, upload, or process through our Services remain entirely yours.

By using our AI-powered features, you understand and agree that:

• You retain full ownership of your User Content
• You retain ownership of AI Output generated from your inputs, to the extent permitted by applicable law
• We do not claim any ownership rights over your User Content or AI Output
• We do not use your User Content to train our models or improve our services without your explicit consent
• When processing happens locally on your device, your content never leaves your device

You are solely responsible for the content you create and the prompts you provide. You must ensure that your User Content does not infringe on the rights of any third party or violate any applicable law.

Our Services include features powered by artificial intelligence. While we strive to provide accurate and helpful AI outputs, please be aware of the following:

Baroi AI is not liable for any actions taken, decisions made, or damages incurred based on AI-generated content from our Services. Always use your own judgment and consult qualified professionals when needed.

Our Services may contain links to third-party websites, APIs, or services that are not owned or controlled by Baroi AI. These include but are not limited to:

• External AI service providers (e.g., OpenAI, Google)
• Social media platforms (Instagram, Twitter/X, LinkedIn)
• App distribution platforms (Google Play Store)
• Hosting providers (GitHub Pages)

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. We strongly encourage you to read the terms and privacy policies of any third-party service you interact with through our products.

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that our Services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected or that our Services are free of viruses or harmful components

We do our best to provide reliable, high-quality tools, but as a solo studio, we cannot guarantee 100% uptime or perfection. We appreciate your understanding.

To the maximum extent permitted by applicable law, Baroi AI, its operator, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your access to, use of, or inability to access or use our Services
• Damages resulting from any conduct or content of any third party on or through our Services
• Damages resulting from AI-generated content that is inaccurate, inappropriate, or harmful
• Unauthorized access to, alteration of, or loss of your data or User Content

In no event shall our total aggregate liability exceed the amount you have paid to Baroi AI in the twelve (12) months preceding the claim, or ₹1,000 (Indian Rupees One Thousand), whichever is less.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Baroi AI, its operator, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of or access to our Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content or any content you generate using our AI features

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Common reasons for termination include:

• Violation of these Terms or our Acceptable Use Policy
• Abuse of our Services, APIs, or resources
• Requests by law enforcement or government agencies
• Discontinuation of a Service (in whole or in part)

You may also stop using our Services at any time. Upon termination:

• Your right to access and use the Services will immediately cease
• Any data stored locally on your device remains under your control
• Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, warranty disclaimer, limitation of liability, and indemnification

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall be resolved as follows:

1. Informal Resolution: We encourage you to contact us first at subhodeepbaroi2@gmail.com so we can attempt to resolve the dispute informally within 30 days.
2. Jurisdiction: If informal resolution fails, any legal action shall be brought exclusively in the courts of India. You consent to the personal jurisdiction of such courts.

You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For significant changes, we will provide notice through our website or apps
• The updated Terms become effective immediately upon posting

Your continued use of our Services after any changes constitutes acceptance of the new Terms. If you do not agree with the modified Terms, you must stop using our Services.
